Indonesian Palm Oil News (IPO News), Jakarta — PT Agrinas Palma Nusantara (Persero) is strengthening its corporate governance and integrity culture through cooperation with Indonesia’s Corruption Eradication Commission (KPK). The initiative was carried out through a Forum Group Discussion (FGD) focusing on fraud and gratification prevention, conflict of interest, the Whistleblowing System (WBS), and the application of the Business Judgement Rule (BJR). The FGD, titled “Strengthening Governance through Fraud and Gratification Prevention and the Application of Business Judgement Rule,” was held at Menara Agrinas Palma, Jakarta, on Thursday, October 1, 2026.
The forum featured Arend Arthur Duma, Acting Director of the KPK’s Anti-Corruption Directorate for Business Entities, as a speaker. The event was attended by members of Agrinas Palma’s Board of Commissioners and Board of Directors, expert staff, division heads, subdivision heads, and other relevant executives. For Agrinas Palma, strengthening governance has become increasingly important as the company takes on greater responsibility for managing state owned plantation assets.
Governance as a Foundation
President Director of PT Agrinas Palma Nusantara (Persero), Mohammad Abdul Ghani, emphasized that governance is not merely about regulatory compliance, but must become an integral part of the company’s business decision-making process. According to Abdul Ghani, every business decision must be made professionally, based on adequate information, with due care, and in an accountable manner.
This approach is particularly important as Agrinas Palma is currently undertaking a major transformation in the management of state owned plantation assets. With its extensive assets and business activities, every management decision may have implications for the company’s operations, financial performance, communities, and the interests of the state.
Therefore, integrity in the decision making process has become an important factor in ensuring that the company’s transformation not only delivers business performance, but also strengthens public trust.
Four Key Areas of Focus
During the FGD with the KPK, Agrinas Palma focused on several key areas, namely fraud and gratification prevention, conflict of interest management, strengthening the Whistleblowing System (WBS), and the application of the Business Judgement Rule (BJR). These four areas are closely connected to how a company makes decisions and manages potential risks within its organization.
Fraud and gratification prevention, for example, is essential to ensuring that business processes remain transparent and are not misused for personal or group interests. Meanwhile, effective conflict of interest management is necessary to ensure that decisions remain objective and prioritize the interests of the company.
The KPK also highlighted the importance of strengthening the WBS as an instrument for detecting potential violations at an early stage. For a company with a large scale organization and extensive business activities, an effective reporting mechanism is an important part of the internal control system.
The Business Judgement Rule
One of the notable topics discussed during the FGD was the Business Judgement Rule, The principle is important because businesses require management to make decisions, including decisions involving business risks. From a governance perspective, business decisions should ideally be made in good faith, based on adequate information, with due care and professionalism, and without being influenced by personal interests or conflicts of interest.
With this understanding, management is expected not only to exercise caution when making decisions, but also to have a sound basis for taking strategic decisions in the best interests of the company. This is particularly relevant for Agrinas Palma as it enters a transformation phase that requires both speed and accuracy in making various business decisions.
Maintaining Integrity Throughout the Transformation
Strengthening governance through the FGD with the KPK forms part of Agrinas Palma’s efforts to build a more transparent, accountable, and professional corporate culture. The initiative also demonstrates that the transformation of state-owned plantation asset management is not solely about improving productivity and financial performance.
Governance is an inseparable part of that transformation, The larger the assets and responsibilities being managed, the greater the need for strong oversight, control mechanisms, and sound decision making processes. Ultimately, Agrinas Palma’s success will not be measured solely by the size of the assets it manages or the level of performance it achieves. Integrity in conducting business, the quality of decision making, and the ability to uphold the responsibility of managing state assets will be essential elements in determining the success of Agrinas Palma’s transformation going forward.
